1. Scope

These terms apply to the use of this website and, unless otherwise agreed in writing, to all offers, orders and supplies of products and services by SYNTEXA SA (“Syntexa”, “we”). Individually negotiated agreements take precedence.

2. Offers and quotes

Information on this website is not a binding offer. Product families are indicative; specific models, specifications, availability and pricing are confirmed by written quotation.

3. Orders and contracts

A contract is formed when we confirm an order in writing or by signed purchase order, contract or service agreement. Prices are net, exclusive of VAT and shipping unless stated otherwise.

4. Prices, availability and delivery

Prices and availability are subject to confirmation at the time of order. Delivery dates are estimates unless expressly agreed as binding. Risk passes according to the agreed Incoterms.

5. Export control and dual-use

Certain products — including thermal-imaging, night-vision and secure devices — are subject to Swiss export-control and dual-use legislation (Goods Control Act, GKG/LBDI, and related ordinances) and to international regimes (e.g. EU Regulation 2021/821). Orders are accepted subject to compliance: we may require end-use and end-user information and may decline or delay any order pending the necessary authorisations. The customer undertakes not to re-export or divert goods in breach of applicable export-control or sanctions law.

6. Intellectual property

All rights in this website and in materials we provide remain with Syntexa or its licensors. Software is supplied under its applicable licence terms.

7. Warranty

Warranty for supplied products follows the manufacturer’s warranty and the terms of the individual contract. Defects must be notified without delay after discovery.

8. Limitation of liability

To the extent permitted by law, Syntexa’s liability is limited to direct damage caused by intent or gross negligence. Liability for slight negligence, indirect or consequential damage, and loss of profit is excluded. Mandatory statutory liability remains unaffected.

9. Data protection

We process personal data as described in our Privacy Policy.

10. Governing law and jurisdiction

These terms are governed by Swiss substantive law, excluding its conflict-of-laws rules and the CISG. The exclusive place of jurisdiction is Lugano, Canton of Ticino, Switzerland, subject to any mandatory statutory place of jurisdiction.
